1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the services, website, and application (collectively, the "Service") provided by WAM Systems Inc ("Company," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Description of Service
WAM Systems Inc provides a software-as-a-service (SaaS) platform for monitoring, managing, and analyzing machine and equipment operations. The Service includes data collection, real-time monitoring, analytics, alerting, and reporting capabilities.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. User Accounts and Registration
To access certain features of the Service, you must register for an account. You agree to:
Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your account credentials
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate your account if we believe you have violated these Terms or engaged in fraudulent or illegal activity.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Service in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers/networks connected to the Service
Transmit any viruses, malware, or other malicious code
Use the Service to harass, abuse, or harm another person or entity

Reverse engineer, decompile, or disassemble any portion of the Service
Remove, alter, or obscure any proprietary notices on the Service
5. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by WAM Systems Inc, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to resell or commercial use of the Service, any collection or use of product listings or descriptions, any derivative use of the Service, or any use of data mining or similar data gathering tools.
6. User Data and Content
You retain all rights to the data and content you submit to the Service ("User Data"). By submitting User Data, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Data solely for the purpose of providing and improving the Service.
You represent and warrant that you own or have the necessary rights to submit User Data and that your User Data does not violate any third-party rights or applicable laws.
7. Fees and Payment
Access to certain features of the Service may require payment of fees. All fees are non-refundable unless otherwise stated. You agree to pay all applicable fees as described at the time of purchase.
We reserve the right to change our fees at any time upon reasonable notice. Your continued use of the Service after fee changes take effect constitutes your agreement to pay the modified fees.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
We do not warrant that the Service will meet your requirements or that the operation of the Service will be uninterrupted or error-free. You acknowledge that your use of the Service is at your sole risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAM SYSTEMS INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless WAM Systems Inc, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of South Dakota, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Minnehaha County, South Dakota, and you consent to the personal jurisdiction of such courts.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and WAM Systems Inc regarding the Service and supersede all prior agreements and understandings, whether written or oral.
